Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using the Notdio music streaming platform ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Notdio, Inc. ("Notdio," "we," "us," or "our").

If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years of age (or the minimum age of consent in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

If you are under 18 years of age, you may only use the Service with the involvement and consent of a parent or legal guardian.

3. Accounts & Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and update your account information to keep it accurate and current.
• Keep your password secure and not share it with any third party.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or abusive activity.

4. Subscription & Billing

4.1 Free Tier

Notdio offers a free tier with limited features. Free tier users may experience advertisements, lower audio quality, and limited skips.

4.2 Premium Subscriptions

Premium subscriptions provide ad-free listening, high-quality audio, offline downloads, and additional features. Subscription fees are billed in advance on a monthly or annual basis.

4.3 Billing & Payment

• Payments are processed through our secure payment partners.
• Subscriptions automatically renew unless cancelled before the renewal date.
• You can cancel your subscription at any time through your account settings.
• Refunds are subject to our refund policy and applicable laws.
• Prices may change with 30 days' notice to your account email.

4.4 Free Trials

We may offer free trials for Premium subscriptions. If you do not cancel before the trial period ends, your subscription will convert to a paid plan at the then-current rate.

5. License & Restrictions

Notdio grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes.

You May Not:

• Copy, reproduce, distribute, or exploit any content from the Service.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated tools (bots, scrapers, spiders) to access the Service.
• Remove any copyright, trademark, or proprietary notices.
• Redistribute, sublicense, or transfer your account or subscription to another party.
• Use the Service for public performances or commercial broadcasting without proper licensing.
• Circumvent any technological measures designed to protect the Service or its content.

6. User Content

You may create playlists, upload profile images, post comments, and share content within the Service ("User Content"). By submitting User Content, you:

• Retain ownership of your User Content.
• Grant Notdio a worldwide, royalty-free license to use, display, and distribute your User Content in connection with the Service.
• Represent that you have all necessary rights to the content you submit.

We reserve the right to remove any User Content that violates these Terms or that we find objectionable for any reason.

7. DMCA & Copyright Policy

Notdio respects the intellectual property rights of others. If you believe that your copyrighted work has been used on the Service in a way that constitutes copyright infringement, please contact our designated agent:

Your notice must include: (a) identification of the copyrighted work, (b) identification of the infringing material, (c) your contact information, (d) a statement of good faith belief, and (e) your physical or electronic signature.

8. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice.

Upon termination:

• Your license to use the Service will cease immediately.
• We may delete your account data after a reasonable period.
• Accrued obligations prior to termination survive.
• You may request a pro-rated refund for unused Premium subscription time, subject to our refund policy.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTDIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss OF PROFITS, DATA, OR GOODWILL
• SERVICE INTERRUPTION OR COMPUTER VIRUS
• ANY DAMAGES RESULTING FROM YOUR USE OF THE SERVICE

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in New York, New York, under the rules of the American Arbitration Association.

You agree that any dispute shall be resolved on an individual basis — not as a class action, class arbitration, or representative action. You waive the right to participate in class actions.

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
